Thank you for your interest in partnering with [NESTALLY]. We love collaborating with boutiques, online stores, and baby registries around the world. Below you will find our wholesale terms and guidelines.

1. Account Qualification (账户资质要求)

To qualify for a wholesale account with [NESTALLY], you must be a registered business with a physical storefront, an independent online boutique, or a verified sales channel.

  • A valid Tax ID / EIN or Reseller Certificate is required upon application.

  • We reserve the right to review and approve all wholesale applications to maintain brand alignment and market integrity.

2. Order Minimums (起订量与金额门槛 - MOQ)

We offer flexible order minimums to support businesses of all sizes:

  • Opening Order Minimum (首单最低金额): $[300] USD

  • Reorder Minimum (续订最低金额): $[150] USD

  • Item Minimums (单款起订量): [6] units / packs per colorway or style.

3. Pricing & MSRP (价格与建议零售价)

  • Wholesale Discount: Approved wholesale partners will receive [50%] off our standard Manufacturer's Suggested Retail Price (MSRP).

  • MAP Policy (最低广告价格政策): To protect our brand value, all stockists must adhere to our Minimum Advertised Price (MAP). Products may not be advertised or sold below the listed MSRP of $[28.00] unless prior written permission is granted for storewide promotional events.

  • Third-Party Platforms: Selling [NESTALLY] products on third-party marketplaces (such as Amazon, eBay, Walmart, or Etsy) is strictly prohibited without prior written authorization.

4. Ordering & Payment (下单与支付方式)

  • How to Order: Orders can be placed directly through our B2B online portal after account login, or via email by submitting our official Line Sheet.

  • Payment Terms: All opening orders must be prepaid in full prior to shipment via Credit Card, PayPal, or Bank Wire Transfer (ACH/TT).

  • Net Terms: Net 30 terms may be granted to returning stockists after [3] successful orders, subject to credit approval.

5. Shipping & Delivery (运费与物流)

  • FOB Shipping: All orders ship from our warehouse in [City, Country/State].

6. Returns, Exchanges & Damages (退换货与破损处理)

  • Returns: Due to the nature of wholesale production, we do not accept returns or exchanges for unsold inventory unless the items are defective or damaged during transit.

  • Replacement: Defective or damaged items will be promptly replaced or credited to your account for future purchases.

7. Private Label & Packaging (贴牌与包装规范)

  • All products are shipped in original [NESTALLY] branded sustainable packaging (Kraft Gift Boxes).

  • Unbranding, re-tagging, or selling under another brand name (Private Label) is strictly prohibited unless a OEM/ODM contract has been signed.
